Morton Industrial Group, Inc. is a contract manufacturer of highly-engineered metal components and subassemblies for construction, industrial, and agricultural original equipment manufacturers (“OEMs”). Morton’s products include engine enclosures, panels, platforms, frames, tanks and other components used in backhoes, excavators, tractors, wheel loaders, power generators, turf care equipment and similar industrial equipment. These products are typically highly engineered, cosmetically sensitive, require structural strength and contain complex weldments. The Company has five manufacturing facilities located in the Midwestern, Southeastern and Northeastern United States in close proximity to customers’ manufacturing locations.
Background to the Transaction
Founded in 1963, Morton is a leading manufacturer of complex weldments to off-highway equipment OEMs. In 2005, Morton was a public company with significant ownership represented by two major shareholders, one of whom was the CEO. Due to the financial burdens of public status, management sought a financial partner that could arrange a (public-to-private-transaction). Brazos was introduced to the opportunity through a longstanding firm relationship and developed a strong dialogue with management. Brazos completed the public-to-private recapitalization in August 2006.
