Brazos

BlackHawk Industrial Distribution, Inc. ("BlackHawk" or the "Company") acquired Duncan Industrial Solutions, Inc. ("Duncan" or the "Company") in September 2010 and Rogers Industrial Supply, Inc. ("Rogers" or the "Company") in December 2010. Duncan and Rogers are leading distributors of name-brand industrial MRO supplies and equipment. Duncan also offers specialized, integrated services that deliver tailored solutions for inventory and spend management, point of use, product issuance, product application, information management and other services. Rogers is based in Fort Smith, Arkansas. Duncan is headquartered in Oklahoma City, Oklahoma, and has employees working in offices and client facilities across North America.

Background to the Transaction

Duncan and Rogers are the first two acquisitions of BlackHawk, a new industrial distribution platform Brazos is building in conjunction with Bill Scheller. Mr. Scheller, former CEO and President of ORS Nasco, Inc., and Brazos sourced the opportunities directly. Mr. Scheller currently serves as the CEO of BlackHawk. The Company is currently looking to acquire additional U.S.-based distributors participating in the $400+ billion industrial distribution end market. BlackHawk was able to distinguish itself as a value-added partner to Duncan and Rogers because of Brazos and Mr. Scheller’s prior success in the industrial distribution space. Both Duncan’s and Roger’s strong performance and reputation in the market made them ideal platforms for the BlackHawk strategy.
